Welcome to hourinvoice.com (the "Service"), operated by HourInvoice ("we," "us," or "our"). By accessing or using our website, mobile application (the "App"), or any related services, you agree to be bound by these Terms and Agreements and End User License Agreement (collectively, the "Agreement"). If you do not agree to this Agreement, you may not access or use the Service.

This Agreement governs your use of the Service, including any subscriptions (Free, Silver, or Gold/Premium), and includes provisions to limit our liability, outline your responsibilities, and comply with requirements for platforms such as the Apple App Store. Please read this Agreement carefully.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into this Agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

2. Description of Service

hourinvoice.com provides an online platform and mobile application for invoicing, time tracking, and related business management tools. The Service is available through our website and App, subject to this Agreement and any applicable subscription terms.

3. Subscription Tiers and Billing

We offer three subscription tiers: Free, Silver, and Gold/Premium. Each tier is a monthly subscription, and you may cancel at any time. Upon cancellation, you will retain access to the subscribed features until the end of the paid billing period. Below are the details of each tier:

3.1 Free Tier

• Cost: $0 per month.
• Features: Limited access to basic invoicing and time-tracking features.
• Limitations: May include restricted functionality, fewer invoices, or ads.
• Cancellation: No payment or cancellation required, as this tier is free.

3.2 Silver Tier

• Cost: Billed monthly at the rate displayed at the time of subscription.
• Features: Expanded access to invoicing, time tracking, and additional tools not available in the Free tier.
• Cancellation: You may cancel at any time via your account settings or by contacting support. Access continues until the end of the current billing cycle.

3.3 Gold/Premium Tier

• Cost: Billed monthly at the rate displayed at the time of subscription.
• Features: Full access to all features, including advanced invoicing, reporting, and priority support.
• Cancellation: You may cancel at any time via your account settings or by contacting support. Access continues until the end of the current billing cycle.

3.4 Subscription Terms

• Billing: Subscriptions are billed monthly in advance via the payment method provided. Prices are exclusive of taxes, which may be added as required by law.
• Automatic Renewal: Subscriptions automatically renew each month unless cancelled. You authorize us to charge your payment method for each renewal.
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting us at [email protected]. No refunds are provided for partial billing periods.
• Changes to Pricing: We may modify subscription prices at any time. Changes will apply to your next billing cycle, and you will be notified in advance.
• Apple App Store Subscriptions: If you subscribe via the Apple App Store, your subscription is managed through your Apple ID. Cancellations and refunds are subject to Apple’s policies. To cancel, use your Apple App Store account settings.

4. End User License Agreement (EULA)

4.1 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App and Service for personal or business purposes, subject to this Agreement. This license does not permit you to:

• Modify, reverse-engineer, decompile, or disassemble the App or Service.
• Distribute, sublicense, or transfer the App or Service to third parties.
• Use the App or Service for any unlawful purpose or in violation of this Agreement.

4.2 Ownership

The App, Service, and all related intellectual property (including software, designs, and trademarks) are owned by HourInvoice or its licensors. You receive no ownership rights under this Agreement.

4.3 Updates

We may provide updates, patches, or new versions of the App. You agree to install updates as they become available, as they may be necessary for continued use of the Service.

4.4 Termination of License

We may terminate your license to use the App or Service at any time if you violate this Agreement. Upon termination, you must cease all use of the App and Service and delete any copies of the App from your devices.

5. User Responsibilities

5.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

5.2 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You may not:

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOURINVOICE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:

• YOUR USE OF OR INABILITY TO USE THE SERVICE OR APP.
• ERRORS, INACCURACIES, OR OMISSIONS IN THE SERVICE.
• UNAUTHORIZED ACCESS TO OR LOSS OF YOUR DATA.
• ANY ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING CLIENTS OR PAYMENT PROCESSORS.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN LIABILITIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

7. Disclaimer of Warranties

THE SERVICE AND APP ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
• ANY DATA STORED OR TRANSMITTED THROUGH THE SERVICE WILL BE ACCURATE OR RETAINED.

8. Indemnification

You agree to indemnify, defend, and hold harmless HourInvoice, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of:

• Your use of the Service or App.
• Your violation of this Agreement.
• Your infringement of any third-party rights, including intellectual property or privacy rights.
• Any disputes between you and third parties, such as clients or payment processors.

9. Third-Party Services

The Service may integrate with third-party services (e.g., payment processors, cloud storage). We are not responsible for the performance, security, or terms of third-party services. Your use of such services is at your own risk and subject to their respective terms.

10. Apple App Store Requirements

If you download the App from the Apple App Store, you acknowledge:

• This Agreement is between you and HourInvoice, not Apple.
• Apple has no obligation to provide maintenance or support for the App.
• Apple is not responsible for addressing claims related to the App, including product liability, intellectual property, or legal compliance.
• Apple is a third-party beneficiary of this Agreement and may enforce it against you.
• You must comply with Apple’s App Store terms of service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of this Agreement. Upon termination:

• Your license to use the App and Service ends.
• You must cease all use of the Service and delete the App from your devices.
• Any unpaid fees remain due, and no refunds will be provided for cancelled subscriptions.

12. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, USA, without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved through binding arbitration in Delaware, conducted in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Changes to This Agreement

We may update this Agreement at any time by posting the revised version on hourinvoice.com. Changes are effective immediately upon posting. Your continued use of the Service after changes constitutes your acceptance of the updated Agreement.

15. Miscellaneous

• Entire Agreement: This Agreement constitutes the entire agreement between you and HourInvoice regarding the Service and supersedes any prior agreements.

• No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
• Assignment: You may not assign this Agreement without our prior written consent. We may assign this Agreement at our discretion.

By using hourinvoice.com or the App, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
